Dividend Policy and Payment

Dividend Policy of the company

The company is to pay dividends to shareholders at the rate of not less than 40% of the net profit from the separate financial statements after corporate income tax deduction and various reserves. However, such dividend payment is subject to change depending on investment plans, conditions, and restrictions stipulated in loan agreements or related contracts (if any), financial position, performance, and other associated factors.

The Board of Directors may consider reviewing and amend the dividend payment policy from time to time to comply with the company's operational plans. The annual dividend payment must be approved during the shareholders' meeting,  except for the interim dividends. From time to time, the Board of Directors may authorize interim dividends when it considers that the company is profitable enough to do so. After which, the report of interim dividends needs to be addressed during the next meeting of shareholders for acknowledgment.

According to the company's separate financial statements, the dividend payment must not exceed the retained earnings and follow the relevant laws.

Dividend Policy of Subsidiaries

The dividend of subsidiaries is under the decision of the Board of Directors and the shareholders of each subsidiary, whose approval will be made during the shareholder's meetings. Criteria for the decision would concern business performance, liquidity, cash flow, financial status, investment plans, and other factors following the board of directors and shareholders' consideration.

However, the dividend of subsidiaries will align with sound corporate governance principles, transparent and verifiable.

When a subsidiary pays a dividend, the Board of Directors of each subsidiary company will acknowledge the company's Board of Directors in the next meeting.
